The terms that apply when you use this website or engage Nile Spectra for marketing services or the Orion platform.

Acceptance of these terms
These Terms and Conditions ("Terms") govern access to and use of the website nilespectra.com and any service, proposal, quotation, campaign, creative deliverable or software platform (including Nile Spectra Orion) provided by Nile Spectra Private Limited ("Nile Spectra", "we", "us", "our"), a company with offices in Hyderabad, Mumbai and Dubai.
By browsing this website, submitting an enquiry, signing a quotation, or engaging Nile Spectra for any service, you ("client", "you") agree to be bound by these Terms. If you are entering into these Terms on behalf of a company, you confirm you have authority to do so.
Services covered
Nile Spectra provides performance marketing, paid media management, creative production, content, growth and analytics services, and the Nile Spectra Orion trade and business platform, as described on this website. The exact scope of any engagement is set out in a written quotation, statement of work, or order confirmation ("Order"), which forms part of these Terms once accepted.
Where an Order and these Terms conflict, the Order takes precedence for that engagement only.
Engagement models & quotations
Engagements are bespoke and on-demand. We do not operate fixed public rate cards; pricing is quoted per project after a scope discussion, as described on our Pricing page. A quotation is valid for 14 days from the date issued unless stated otherwise, and becomes binding once accepted in writing (including by email) or upon payment of an agreed advance.
For Nile Spectra Orion, an Order will additionally specify the modules, user count, implementation scope and subscription term.
Payments
- Project-based work is invoiced against agreed milestones; a project does not begin until the applicable advance, where specified, is received.
- Monthly engagements are invoiced in advance for the coming month, on the billing date stated in the Order.
- Orion subscriptions are billed on the cycle stated in the Order (monthly or annual); implementation fees are invoiced separately and are due before implementation begins.
- Media/ad spend held or routed through Nile Spectra on the client's behalf remains the client's cost and is invoiced or reconciled separately from management fees.
- Invoices are due within 7 days of the date issued unless the Order states otherwise. Overdue amounts may attract a reasonable late fee and may result in suspension of active campaigns or Orion access until settled.
- All fees are exclusive of applicable taxes (including GST/VAT), which are added at the prevailing rate.
Client obligations
To deliver the work, we rely on the client to:
- Provide timely access to ad accounts, brand assets, product information and approvals;
- Ensure that any product, service or claim we are asked to advertise is lawful and that the client holds the rights to any material supplied to us;
- Review and approve creative, campaigns and Orion configuration within agreed timelines; delays in approval may delay delivery without this being treated as a breach by Nile Spectra;
- Provide accurate business data for Orion set-up (inventory, partner, financial records) — we are not responsible for outcomes arising from inaccurate source data supplied by the client.
Intellectual property
Unless the applicable Order states otherwise, ownership of final creative deliverables (ad creative, scripts, videos, copy, landing pages) transfers to the client upon full payment for the engagement under which they were produced. Nile Spectra retains ownership of pre-existing tools, templates, frameworks, internal processes, and the Nile Spectra Orion platform itself, which is licensed for use, not sold, under any Orion Order.
Nile Spectra may reference completed, non-confidential work (case studies, portfolio use) unless the client requests otherwise in writing.
Nile Spectra Orion — platform licence
Access to Nile Spectra Orion is provided on a subscription basis for the term and user count stated in the Order. The client's business data entered into Orion remains the client's property at all times and is accessible/exportable on request, subject to the Privacy Policy. Orion is provided on an "as available" basis; we aim for high uptime but do not guarantee uninterrupted access, and scheduled maintenance will be communicated in advance where practical.
Confidentiality
Each party agrees to keep the other's confidential business information — including campaign performance data, pricing, and Orion business data — confidential, and to use it only for the purposes of the engagement. This obligation survives termination of any Order.
Limitation of liability
Nile Spectra will perform services with reasonable skill and care but does not guarantee specific business outcomes (such as a particular cost-per-lead, revenue figure, or conversion rate), as these depend on factors outside our control including market conditions, platform policy changes, and the client's own product, pricing and operations.
To the maximum extent permitted by law, Nile Spectra's total liability arising out of any engagement is limited to the fees paid by the client for that specific engagement in the 3 months preceding the event giving rise to the claim. Neither party is liable for indirect, incidental or consequential loss.
Term & termination
Monthly engagements may be terminated by either party with 30 days' written notice. Project-based Orders are considered complete on delivery and final payment. Orion subscriptions follow the notice period stated in the applicable Order. See the Refund & Cancellation Policy for what happens to fees already paid.
Nile Spectra may suspend or terminate an engagement immediately if invoices remain unpaid beyond 30 days, or if the client uses our services for an unlawful purpose.
Third-party platforms
Campaigns run on third-party platforms (Google, Meta, LinkedIn, YouTube, marketplaces, etc.) are subject to those platforms' own terms, policies and approval processes, which are outside Nile Spectra's control. We are not responsible for account suspensions, ad disapprovals, or policy changes made by third-party platforms, though we will act promptly to resolve them where possible.
Governing law & disputes
These Terms are governed by the laws of India. Subject to any mandatory local consumer protection law applicable to the client's location, courts in Hyderabad, Telangana shall have exclusive jurisdiction over disputes arising from these Terms, and the parties will first attempt good-faith resolution before pursuing formal proceedings.
Changes to these terms
We may update these Terms from time to time; the "Last updated" date above reflects the most recent revision. Material changes affecting an active engagement will be communicated to the client directly. Continued use of our services after an update constitutes acceptance of the revised Terms.
